SUNAPEE BOARD OF SELECTMEN
10:00 AM Town Office Meeting Room

Present: Fred Gallup Chairman, Emma Smith Vice Chairman, Shane Hastings, Joshua Trow, Suzanne Gottling and Donna Nashawaty, Town Manager

Chairman Gallup opened the meeting at 10:00AM

Donna Nashawaty went over the steps leading up to this closing. The Mylar for the subdivision has been signed off by the Planning Board and will be recorded after the closing. The deed has been reviewed and changes were made by both the Town’s Attorney and the Bank’s Attorney. Donna Nashawaty introduced Sharon Worst, who is the representative from Title Pro, who is the closing agent for both parties.  

Sharon Worst stated that a title search had been done last September and thru the Mitchell Municipal Group the following has been recorded: the subdivision, the Mylar, and taking the property out of the condominium. There is one (1) Mylar remaining to be recorded and a couple of writs that were on title that need to be released because they weren’t properly noticed in the foreclosure, that’s the only outstanding item. The writs appear to have been adjudicated in court and can be removed after a copy of the court order is received and recorded with the Registry. Sharon Worst went on to say that other than that the title is fine and we’re in a position to be able to close and write the title insurance. Donna Nashawaty stated that the Library Trustees, at a duly noticed library meeting, voted to do the title insurance and the research to make sure to have a clean title.
The only thing is the closing documentation that needs to be executed by both buyer and seller and the disbursements, which will be escrowed until the court docket is recorded.       
Motion to authorize the Chairman to sign the Quitclaim Deed and all associated documents related to this closing by Selectman Gottling, seconded by Selectman Trow All in Favor.
Sharon from Title Pro reviewed the settlement sheet with the Board of Selectmen. Donna Nashawaty presented two (2) checks; one in the amount of $288,763.65 and the second in the amount of $1,315.95. Chairman Gallup also signed the warranty deed, the real estate transfer tax form, DRA Inventory of Property Transfer form and real estate taxes, utilities, association/condo dues and fees form. Donna Nashawaty stated that because the property was not subdivided by April 1st, it is in its entirety for this particular tax year. Sharon Worst said there was a deposit check that the seller’s Attorney was holding, the seller has been given a credit on the settlement statement, Sharon Worst needs Chairman Gallup to endorse it over to the seller.



Donna Nashawaty asked if the check could be voided as if they had already accepted it. Donna Nashawaty’s only concern is that the Treasurer is the signing authority for the Town, not the Board of Selectmen on the checking account. Sherwood Moody, President of Claremont Savings Bank stated it was never at the bank, so the bank could void the check. Donna Nashawaty replied that the bank doesn’t need it, Oakwood Park needs it. Donna Nashawaty went on to say if the check was never bought to the closing it would have been fine and wondered if the Attorney could write a direct check to Oakwood Park to avoid any problems. Sharon Worst stated it wouldn’t be a problem to void the check and announce the closing was done.
